;-) Jeg forstår at det er reserver, men med siste måneders oljepris, så stusser jeg litt over at ikke denne reserven er blitt solgt ned til et mer relevant nivå ; ett års drift er mye!
De må ha (hatt) veldig god råd/likviditet, eller så er det noe med salgbarheten som ligger bak.
Her betaler Zena 1,7 mill USD for et helt selskap samt olje verd omtrent 2,2 mill USD; noe skurrer, for så pengedum er vel ikke selgeren?

Ikke noe galt! Nå kan den selges, Denne oljen har vært ZENA sin lenge, men ikke kunnes selges grunnet ikke Stemplet avtale fra myndighetene. Nå trengs ikke det.

This is a copy of the post that I have just put up on the UK Zenith forums.

So, Zenith have finally abandoned trying to get the license transfer approved by the glacially-slow Tunisian bureaucratic system and have instead gone once again (as they did with Candax) for the quick and simple method of simply buying the subsidiary company which own the share of the license. This has resulted in the transaction going through just as easily as the Candax ones have an I would assume that the company will shortly try and do exactly the same thing with the KUFPEC 22.5%.

Obviously, changing the structure of the deal has meant that it has been somewhat renegotiated so that it is not quite as favourable to Zenith as it was back in 2020. For this reason it is a shame that Zenith did not go the “buying the ltd company” route right back in September 2020 as we would have acquired the asset for only $300,000 instead of $1,658,680 and we also would have ended up with about 67,000 barrels of oil as opposed to the 30,000 that we have done. However, it is also entirely understandable that CNPC insisted on renegotiating the deal when it changed as the increase in oil price since September 2020 is simply too big to ignore. I think that what we can assume now is that Tunisian lessons have been learned at Zenith and all Tunisian deals will be completed in this fashin from now on.

I think that the relatively muted market reaction to this news represents the fact that we were expecting the asset to have been acquired for less money and also delivering us about $5 million of stored oil. It is obviously slightly disappointing that this has not happened but on the plus side, Zenith have got the deal over the line and it is still an extremely impressive one to have completed. The 30,000 barrels of oil that have come with the deal are worth approx. $2.4 million at todays prices and the cash purchase element of the deal is only $1.7 million so we are effectively being paid $700,000 to take control of the license and plus we have 120 barrels of oil being produced every day from now on. At an opex cost of $25 per barrel then this should work out at a gross revenue of $3.4 million per year and a net of approx. $ 2,365,200.

One other point that we should not forget about our Tunisian oil production is the fact that we can only sell it a few times a year. I had often wondered why this was but it was made clear by AC in the investor call that we (and most of the other Tunisian oil producers) put our oil together to create an oil blend from the ECUMED fields and then ship it out to European refineries by tanker. So basically, we have to wait until there is enough oil to fill a tanker (approx. 2 million barrels) before it can be sold.

Anyway, in short, this is another step closer to the initial Tunisian oil production target of 1,000 bopd. The SLK deal is no longer coming with the massive slug of cash that we were all hoping for but it is still a pretty substantial amount and AC has told us that more Tunisian deals are likely to follow on shortly – presumably all to be completed in this fashion from now on.

Tunisia is producing away nicely but the big price drivers here are going to be the new Tilapia license and the massive potential of NW OML141 – both of which we should have more news on in December.

Now SLK secured (22,5%) they can now start planning upcoming workover activities. North Kairouan Permit and SLK is a big field with verry high potential. AC has several communicated the potential upside from this field.
Even we have to "pay" some more, most important is that we finally can start developing the field!

Zenith did not paid extra but the cost for operating the field form 30th 2020 till date (must be start of Oct) also extra money goes into 25 Class B shares in Compagnie Tuniso-Koweito-Chinoise de Pétrole (“CTKCP”), the operator, representing 25% of the issued share capital of CTKCP. which was not part of original deal last time.
Zenith earned at todays date US$600000 - US$700000 (exact figure will come after oil sell news).
total split is -
field cost - US$300,000
25 Class B shares in Compagnie Tuniso-Koweito-Chinoise de Pétrole (“CTKCP”) - US$200,000 (tentative)
Operating cost of field - US$ 1,158,680 ($38/ barrel - $40 profit to zenith in current oil price) ( valuation done in August with US$3/ barrels ) will come down after zenith management comes in.

similarly for other KUFPEC
Operating cost till date from April 20, 2020 - US$ XXX
field cost + 25 Class B shares in Compagnie Tuniso-Koweito-Chinoise de Pétrole (“CTKCP”) = US$500,000 (US$250,000 paid already on 11 June 2020)
payment to Zenith will be @50000 barrels of oil -( US$ XXX -US$250,000) = @ US$1.8 million to zenith.(End of September )
Zenith earn profit of $2.5million before tax from SLK. with current organization size, oil price and resources they will earn around US$5-US$10/year profit from Tunisia.

I am afraid you have misunderstood the terms of the deal.


1) The old deal for $300,000 did not happen. The $300,000 was never paid (unlike the KUFPEC payment which was announced) and so the deal was just ripped up and restarted.

2) The new terms of the deal are, as the RNS announcement states that Zenith will pay CNPC $1,658,680 to acquire the CNAOG which holds the 22.5% interest in the North Kairouan permit and the Sidi El Kilani Concession.

3) As part of this deal Zenith will also acquire all of the oil which has been generated by the license and has not already been sold, which totals 30,000 barrels.


So CNAOG sold approx. 37,000 barrels of oil which had previously been due to Zenith and also charged Zenith an additional $1.3 million for the license. There is no confusion about it, Zenith looked like they were struggling to get the approval for the license change from the Tunisian authorities (which is not that surprising as they would definitely rather have CNPC and KUPFEC as investors in their wells than little Zenith) and so went for an easier-to-complete version of the deal. The fact that a new deal was struck allowed CNPC to renegotiate the terms and so the fee went up to reflect the new oil price and they also only gave Zenith slightly under half of the oil that was promised under the original deal.


On the plus side, the deal is now completed and it has delivered us approx. $700,000 and a 22.5% share in a concession that generates approx. 500bopd.

I am differ from claim CNAOG sold approx. 37,000 barrels. As per production rate from SLK oil belongs to CNAOG is @460000 barrels from date of deal to Oct 2021 and zenith got 30,000.

Viking 1 - I apologise, your figures are correct. I had my figures for CNPC production starting at the same time as the KUFPEC one, when in fact they were different dates. So you are right, Zenith only lost out on 16,000 barrels of oil.

Together with the increase in price this means that they have lost out on $2.5 million compared to the previous deal. However, this does not matter because we have still completed the acquisition and it has not cost us anything (in fact we have made money on it). As you correctly state, Zenith should now earn about $2.5 million per annum from this 22.5% share of SLK.

I doubt they lost $2.5 million, Zenith will get US$600,000 by selling 30000 barrels of oil and 25 Class B shares in Compagnie Tuniso-Koweito-Chinoise de Pétrole (“CTKCP”). Also zenith will not have to pay operating cost for SLK for 22.5 production from Oct 2020 to Sep 2021. So zenith loose 16,000 barrels of oil only + some US$ may be less than US$100000 to US$300000.

ADM Energy PLC (AIM: ADME; BER and FSE: P4JC), a natural resources investing company, notes speculation regarding OML 141 and its interest in the Barracuda oil field risk sharing contract.



On 28 April 2021, ADM announced that it had completed the acquisition of a 51 per cent. equity shareholding in K.O.N.H UK Limited ("KONH") which, through its subsidiary Noble Hill-Network Limited ("NHNL"), holds an indirect 70 per cent. controlling interest in a risk sharing agreement in the Barracuda oil field in OML 141 in Nigeria.



KONH has subsequently been notified by NHNL of a dispute regarding its ownership in NHNL and therefore its interest in the Barracuda Field in OML 141. ADM and its legal advisers consider that the dispute brought by NHNL is without merit and ADM confirms there has been no change in its position as the majority shareholder in KONH and the subsequent 70 per cent. indirect interest in NHNL.



As notified on 15 November 2021, the Company is assessing the draft Competent Person's report for the Barracuda field and is in regular dialogue with Emerald Energy Resources Limited, operator of the Barracuda field, in respect of the potential development of the Barracuda field.



The Company will update the market further in due course.

ADME inform share holders about OML141 , KONH and NHNL. So it is confirm, Zenith will enter 49% with NHNL it's direct deal. If anything happens it is between KONH, ADME and NHNL with there 51%. Emerald Energy Resources Limited is only operater.
