Univid ASA: Complaint over decision to delist the Company's shares
Reference is made to Univid ASA's ("Company") announcement on 29 October 2023 regarding Oslo Stock Exchange's decision to delist the Company's shares effective from 12 December 2023 ("Decision") and the Company's intention to appeal the Decision to the Oslo Stock Exchange Appeals Committee, as well as the announcement on 7th November 2023 regards the entering into of an agreement to acquire SEEYOU ltd., the "Share Exchange Agreement". The Company has today submitted its complaint to the Oslo Stock Exchange within the applicable deadline. The Company is of the clear view that it is suitable for continued listing due to the Share Exchange Agreement with a majority of the shareholders of SEEYOU Ltd. The combined company will establish an entirely new management and board composition and is expected to have a market value well above NOK 500 million. The combined company will have a diverse shareholder structure and a significant number of prominent investors. The combined company will operate in the development of generative AI models, a sector currently of great interest in the investor market and should therefore be suitable for continued listing on Oslo Stock Exchange. As expressed in the Company's announcement on 29 October 2023, the Company's view is that the Decision suffers from material errors, and that the Decision should be reversed or overturned. The Decision was made without appropriate notification or consultation with the Company and had as a consequence that the Company's ongoing negotiations for a potential business combination were terminated. Despite this, the Company nevertheless succeeded in establishing an attractive alternative for its stakeholders, by entering into the Share Exchange Agreement. The Company's view is that the Decision is void, and the basis for such view is inter alia: - The Decision is not based on full, updated and correct factual matters, including the fact that the Company has entered into the Share Exchange Agreement related to SEEYOU Ltd ; - The Company will be suitable for continued listing following consummation of the Share Exchange Agreement, and the Company has not grossly or continuously violated applicable provisions in the Norwegian Securities Trading Act or Oslo Stock Exchange's listing rules ; - The Decision is disproportionate because the Company has not been given sufficient time to complete a business combination, and the disadvantage to shareholders will be material ; - The Decision is not consistent with Oslo Stock Exchange's past practice and there is no justifiable basis for such discrimination ; and - The Decision suffers from significant procedural errors, including that the Company was not pre-notified about Oslo Stock Exchange's intention to resolve the delisting before the Decision was made and on what grounds such Decision was to be motivated. - The Company was hence not given sufficient opportunity to respond to such intention and what motivated it. The Company hopes and deems that the Oslo Stock Exchange will and should change its Decision after reviewing the complaint and being presented with updated information about the Company and the Share Exchange Agreement. Should the Oslo Stock Exchange however, not change its Decision, the Company will consider utilizing adequate legal measures in order to have the implementation of the Decision postponed pending the administrative treatment of the complaint, and thereafter intends to if need be to also utilize further relevant available legal steps and measures to have the Decision nullified and/or overturned. For meg så fremstår det ved første øyekast som en AI dreven hybrid av Lavo.tv og Alvern, satt til en pris som kun alkymistene kan komme frem til med sine keiserlige kalkulatorer.

Men det spiller vel ingen rolle da øsa skal av børs.

Lukter vondt, dette hører ikke hjemme på børs. Dette er en desperat konstruksjon for å få tak i noen lettjente penger igjen. Oppblåste verdier i det som kjøpes. Tar noen måneder så innser man at heller ikke dette tjener penger, og da er det på`n igjen. De kan ikke lykkes. Hadde en tro på Filecoin historien, men det var før alle forsto at innholdet i DLT viste seg å bare være bambus og staffasje. Igjen, svindel og løgn hører ikke hjemme på børs, men her prøver de samme menneskene seg atter en gang. Vedkommende som selger til Univid ser etter raskest mulig vei om bord i en leaset private jet igjen. Dette er muligheten han får, før folk finner ut at heller ikke dette selskapet tjener penger. Våkn opp.

Reference is made to Univid ASAs ("Univid") stock exchange disclosure on 7 November 2023 regarding the share exchange agreement (“SEA”) related to SEEYOU Ltd (“SEEYOU”). Univid is now pleased to announce that further shareholders representing 11.6% of the issued shares in SEEYOU have accepted the SEA, bringing the total shareholders accepting the SEA to 93.1%. As announced, the SEA is subject to several closing conditions, including that Univid acquires at least 98% of the issued shares in SEEYOU.

Univid gjennomfører avtale
Univid har inngått en avtale om kjøp av 81,5 prosent av SEEYOU Ltd. gjennom en aksjebytteavtale, ifølge en melding natt til tirsdag.

Etter gjennomføring av avtalen skal kjøpe minst 98 prosent av SEEYOU med oppgjør i aksjer i Univid. Egenkapitalverdien i Univid er satt til rundt 41 millioner kroner, mens egenkapitalverdien til SEEYOU er satt til rundt 542 millioner kroner.
