Nordic Mining ASA (Nordic Mining) has signed a Heads of Agreement with The
Barton Group (Barton) related to offtake and commercial cooperation for garnet
from the Engebø rutile and garnet project. Barton is a leading US garnet
producer and distributor with a strong foothold, particularly in the North
American markets. Over the years, Barton has played a leading role in developing
the fast-growing application of waterjet cutting technology where garnet is the
dominant mineral.

Barton will be an industrial anchor investor in the pre-construction financing
for the Engebø project and subsequently in the construction financing to
establish the rutile and garnet operation.
The Barton Group agreement
Since 2011, Nordic Mining and Barton (together the Parties) have had a
Memorandum of Understanding (MoU) with the intention to establish a long-term
cooperation with regards to development, production, sales, marketing and
distribution of garnet products from Engebø. Barton has analysed and confirmed
the high-quality of the garnet products which have been produced in the Engebø
prefeasibility testwork.
Today, the Parties have entered into a Heads of Agreement (HoA) confirming the
cooperation, which will be further developed based on the following main
principles:

Offtake agreement for North-America
Nordic Mining and Barton have agreed the basic principles of an offtake
agreement for the exclusive distribution by Barton of Engebø garnet to the North
American markets. The garnet will be sold and distributed under Bartons brand
name for high-quality products.

Barton is a substantial producer and distributor in North America with 23
warehouses and an experienced marketing and technology organization supporting
customers all over the continent.


Joint ventureagreement for other markets
Nordic Mining and Barton intend toestablish a jointly owned company (Newco)
for sale and distribution ofgarnet from Engebø to markets outside of North
America. The terms andconditions for the operation and the Parties cooperation
will be furthernegotiated.

The high quality of the Engebø garnet and cost-efficient logistics, combined
with Bartons comprehensive marketing and technology experience, are expected to
build competitive strength.

Financing ofpre-construction project development
Barton intends to participate in the pre-construction financing of theEngebø
project. The financing will be on the same terms as offered to other investors
if Nordic Mining should decide to arrange an equity issue relatedto funding of
pre-construction activities for the Engebø project.

Construction financing
Barton intends to participate in the construction financing of the Engebø
project as an industrial anchor investor. The form and amount of Bartons
contribution will be further negotiated and evaluated as part of the total
solution for project financing.

Ja, da er det bare å selge ned kursen så kan Barton overta NOM for en slikk og ingenting. Tenker det er veien dette går med den handelen vi ser i NOM. Husk vi hadde innsidehandel på 3.95 og det var nok ansett for å være en god inngang.

Se så. Endelig en skikkelig børsmelding fra NOM. Jeg tror det blir mange av de fremover det neste året. Vi må nok regne med at noen tosker selger aksjen ned som vanlig, men det beste med denne Barton-avtalen er at det er slike avtaler profesjonelle investorer ser etter før de går inn i tidlig-fase/mid-fase-case. En god dag, selv om det ikke akkurat er øredøvende smell av champagnekorker enda. Gi det litt tid så ser vi nok at volumene øker.

Det tror jeg faktisk at det blir Boss. Dersom ikke OSE forstår dette nå, så må aksjonærene kreve notering på en annen børs for å få synliggjort verdier før videre finansiering.

Oslo (TDN Finans): Konsernsjef Ivar S. Fossum i Nordic Mining tror mesteparten av granatproduksjonen fra Engebø-prosjektet vil selges og distribueres gjennom samarbeidsavtalen med det amerikanske mineralselskapet Barton Group.
-Mye taler for at det aller meste vil gå gjennom dette samarbeidet i en eller annen form, sier han til TDN Finans.
Konsernsjefen vil ikke utelukke at det kan inngås lignende avtaler for salg og distribusjon av rutil, som også skal utvinnes fra Engebøfjellet.

-Det vil vi nok. Det er litt tidlig å si. Men at det vil være behov for, og naturlig å få til en slik forankring i markedet på rutil tror vi er åpenbart, sier Fossum.
Selskapene har nå inngått en konkret avtale (Heads of Agreement) fra en tidligere MOU (Memorandum of Understanding), hvilket betyr at partene nå vil sette seg ned og forhandle om forpliktende forhold.
-Avtalen gir mye tydeligere retning på samarbeidet. Den sier noe om hva som skal forhandles om, og snevrer inn samarbeidsforholdet. Tidligere har det vært mye rundere, og vi har ikke engang nevnt navnet på Barton Group. Så det er en avtale om at vi skal sette oss ned og forhandle konkrete avtaler knyttet til salg, distribusjon og hvordan Barton skal bidra til finansieringen, sier konsernsjefen.
Vedrørende det siste punktet kan ikke Fossum si hvor mye Barton Group vil gå inn med på eiersiden, men påpeker at det blir en strategisk viktig avtale. Han sier også at selskapet har gjort seg opp tanker om hvor mye av Engebø-prosjektet som vil finansieres gjennom direkte investeringer i prosjektet versus banklån, men at det er for tidlig å gå ut med på dette tidspunktet.

Selskapene har dessuten planer om å opprette et felleseid selskap kalt Newco, for salg og distribusjon av granat fra Engebø til markeder utenfor Nord-Amerika.

Har prøvd å legge inn tallene fra PFS og info fra børsmeldingen i dag:
Scenario 1: med 50% offtake agreement og 50% aksjeutvidelse for preinvesteringene (20MUSD). For hovedinvesteringene (207,5 MUSD) 25% offtake agreement, 60% banklån og 15% aksjeutvidelse.

Scenario 2: med 0% offtake agreement og 100% aksjeutvidelse for preinvesteringene (20MUSD). For hovedinvesteringene (207,5 MUSD) 60% banklån og 40% aksjeutvidelse.

Scenario 2 blir vel på mange måter et worst case.
