12.3.2 The Debt Conversion On 1 October 2019, the Company's extraordinary general meeting resolved the issuance of 3,200,000 shares to Navamedic (the "Debt Conversion"). The share contribution was settled by Navamedic setting-off a loan it had to the Company in the amount of NOK 16,000,000 as contribution in kind. The subscription price was NOK 5.00 per share. The completion of the Debt Conversion was conditional upon the Demerger being completed. Following the Debt Conversion Navamedic owns approximately 21% of the Shares in the Company.
