Questerre closes acquisition of Quebec assets

Calgary, Alberta -- Questerre Energy Corporation (“Questerre” or the “Company”) (TSX,OSE:QEC) reported today that it has received all approvals and has closed the acquisition of assets in Quebec pursuant to the purchase and sale agreement with a senior exploration and production company (the “Agreement”) as set out in the Company’s press release dated March 7, 2019.

Michael Binnion, President and Chief Executive Officer of Questerre, commented “With the acquisition closed, we have regained control and operatorship of our giant natural gas discovery in the Lowlands. We are now well positioned to engage the Government and all stakeholders on our Clean Tech Energy project. This will allow us to follow through on our plans to share profits with local communities. We believe this will be essential to the social acceptability we need to move forward.”

Commenting on the Clean Tech Energy project, he added, "Our goal to produce natural gas with zero emissions, zero freshwater usage and zero toxic chemicals below ground will be among the first of its kind worldwide. We believe this can be accomplished today by using new technologies and leveraging Quebec's hydropower advantage."

Pursuant to the Agreement, Questerre has acquired the exploration rights to 753,000 net acres in Quebec, associated wells and equipment, geophysical data and other miscellaneous assets. Post-closing, Questerre holds the rights to approximately one million net acres covering a well-established gas resource. Based on an independent resource assessment prepared by GLJ Petroleum Consultants Ltd. (“GLJ”) as of December 31, 2017 for the majority of this acreage where the Company holds a working interest, the best estimate of unrisked gross contingent and prospective resources was 3.9 Tcf and 21.3 Tcf respectively. The Company plans to update this assessment for the newly acquired acreage later this year.

Both parties have released each other from all claims related to outstanding litigation. For more information, please see the Company’s press releases dated June 4, 2018. Other consideration including cash and contingent payments and the security required for the assumption of abandonment and reclamation liabilities (“A&R Liabilities”) is approximately $11 million in aggregate prior to closing adjustments. The Company has posted letters of credit as security for the A&R Liabilities.

December 31, 2017 Resource Report

GLJ prepared an independent resource assessment of the Company’s 735,910 gross (190,800 net) acres in the St. Lawrence Lowlands Quebec that have potential for the Upper Utica Shale effective December 31, 2017 in a report dated March 5, 2018 (the “GLJ Resource Assessment”). The GLJ Resource Assessment was prepared in accordance with NI 51-101 and the standards contained in the COGE Handbook. The GLJ Resource Assessment did not include any of the Corporation’s other properties. All anticipated results disclosed herein were prepared by GLJ, which is an independent qualified reserves evaluator.

"Gross” resources are Questerre's working interest (operating or non-operating) share before deduction of royalties and without including any royalty interests of Questerre. "Net” resources are Questerre's working interest (operating or non-operating) share after deduction of royalty obligations, plus Questerre's royalty interests in contingent resources

“Best Estimate” resources are considered to be the best estimate of the quantity that will actually be recovered. It is equally likely that the actual remaining quantities recovered will be greater or less than the best estimate. If probabilistic methods are used, there should be at least a 50 percent probability (P50) that the quantities actually recovered will equal or exceed the best estimate.

Contingent resources are defined in the COGE Handbook as those quantities of petroleum estimated, as of a given date, to be potentially recoverable from known accumulations using established technology or technology under development, but which are not currently considered to be commercially recoverable due to one or more contingencies. There is no certainty that it will be commercially viable to produce any portion of the contingent resources or that Questerre will produce any portion of the volumes currently classified as contingent resources. The estimates of contingent resources involve implied assessment, based on certain estimates and assumptions, that the resources described exists in the quantities predicted or estimated, as at a given date, and that the resources can be profitably produced in the future.

Prospective resources are defined in the COGE Handbook as those quantities of petroleum estimated, as of a given date, to be potentially recoverable from unknown accumulations by application of future development projects. Prospective resources have both an associated chance of discovery (CoDis) and a chance of development (CoDev). There is no certainty that any portion of the prospective resources will be discovered. If discovered, there is no certainty that it will be commercially viable to produce any portion of the prospective resources or that Questerre will produce any portion of the volumes currently classified as prospective resources. The estimates of prospective resources involve implied assessment, based on certain estimates and assumptions, that the resources described exists in the quantities predicted or estimated, as at a given date, and that the resources can be profitably produced in the future.

Financial advisor & Repsol deal:
We expect to have an update on this process later this fall. This should be around the same time as the Repsol deal is scheduled to close. The only conditions to closing are the government consenting to the transfer of the licenses from Repsol to Questerre. This involves the setup of monitoring committees, placing of deposits etc.

Progress Clean tech
We are working with Schlumberger and other partners to do this work. Once complete we will submit to the government for their approval.

We plan to use existing equipment e.g. drilling rigs and packages to electrify the rigs, modern completion equipment powered by electricity instead of diesel, etc. where possible to reduce the lead times for delivery.
At the same time, work to build the clean tech coalition. These are members of society that will support the clean tech approach and build social acceptability. This will also include getting the towns supporting development (we have been making good progress on this front.) We are hoping this fall we will see some very tangible progress on local support for our project!

Questerre has entered a deal with the Ministry of Justice in Quebec that dramatically increases the probability for a commercial development of its lowlands acreage. It is hard to assess the precise value of the deal with the Ministry of Justice. However, there is no doubt that the deal derisks the Lowlands project. Assuming a derisking of the resources from 15% to 50% and derisking of exploration upside from 5% to 20% probability, our SOTP valuation increase by NOK 3.8/share (or close to 130% of the current share price). We guess share price up 20-40% today. We see upside potential to our NOK 5/share target price.

• Constructive deal with Ministry of Environment: In the MDA sector of Questerre’s annual report released last night, there was one very interesting piece of information: At the request of the Ministry of Justice, Questerre has agreed to temporarily defer the planned judicial review hearing. To address concerns about the potential environmental impacts of development, Questerre has recently submitted for review by the Ministry of Environment a conceptual engineering plan to test its Clean Tech Energy pilot program (includes electrification of operations, reuse of water and other initiatives). According to our understanding, this will significantly increase the probability for a commercial development of the lowlands project. If the progress continues, we expect Questerre to resume drilling in the Lowlands in late 2020 or early 2021.
• Option on legal case still alive: In the event of no progress on the Lowlands development and/or a new fracking ban, the option on legal case is still alive. In such a case, Questerre will claim compensation for historical costs and lost NPV from the project.
• Significant positive valuation impacts: It is hard to assess the precise value of the deal with the Ministry of Justice. However, there is no doubt that the deal derisks the Lowlands project. We have currently included the project at NOK 1.5/share in our SOTP. Assuming a derisking of the resources from 15% to 50% and derisking of exploration upside from 5% to 20% probability, our SOTP valuation increase by NOK 3.8/share (or close to 130% of the current share price).

Compelling frontier shale gas play
We re-initiate coverage on Questerre Energy Corp (QEC NO) with a Buy recommendation
and target price NOK 23 per share.
• The Utica play appears to be one of the most promising emerging shale plays in North
America, and Questerre should be located in the sweet spot.
• The upside from today’s share price is tremendous, with a blue-sky potential NAV/share of
NOK 170.

Best case – NAV of NOK 170/share
Pinpointing the value of Questerre’s Utica shale assets is impossible, as the shale still is in
an early stage of development and there are still larger uncertainties surrounding several
important valuation input parameters.
It is however not difficult to see that the upside potential is huge in a best case scenario.
Expected recovery rates for the more established shale plays are in the core areas between 20 and 40%, and 10-20% is regarded as a good initial estimate of what can be expected from a new shale play. If we value the Utica acreage using a 20% recovery and a
best case estimate of 150 bcf/section of gas-in-place in the Utica, we reach an unrisked
NAV of NOK 170 per share (without applying any value to other horizons in Quebec,
Lorraine and Trenton-Black-River).

Supercritical carbon dioxide (SC-CO2) fracturing is a non-aqueous fracturing technology, which has attracted considerable attention on exploiting shale gas. In this study, shale specimens and artificial sandstone specimens were used to conduct SC-CO2 fracturing and water fracturing experiments to investigate the characteristics of SC-CO2 induced fractures. An acoustic emission (AE) monitoring device was employed to monitor the AE energy release rate during the experiment. The experiment results indicate that the breakdown pressure of SC-CO2 fracturing is lower than that of water fracturing under the same conditions, and the AE energy release rate of SC-CO2 fracturing is 1–2 orders of magnitude higher than that of water fracturing. In artificial sandstone, which is homogeneous, the main fracture mainly propagates along the directions perpendicular to the minimum principal stress, no matter if using SC-CO2 or water as the fracturing fluid, but in shale with weak structural planes, the propagation direction of the fracture is controlled by the combined effect of a weak structural plane and in-situ stress.

Qec har nå fått innsyn i Talismans/Repsols data over områdene. Det betyr at Qec kan sortere og gi ut interessant info.
Mest interessant for min del er Leclercville brønnen. Word on the street 10 år tilbake meldte om en meget god brønn på den tiden. Husk typ 1000m horisontal. I dag borer man opp mot 5000 m horisontaler.

Jeg var vist lidt for hurtig med min forudsigelse i dag 😊
Nu er der meget svært at forestille sig andet end minus i morgen.
Det eneste der kan ændre der vil være en positiv melding fra Binnion og dem har han ikke været ret gavmild med her på der sidste.
Surt at QEC stiger og efterfølgende blot falder tilbage - det er lidt deprimerende 🙁

Vi er efterhånden nået der til, at QEC kun kan stige på gode nyheder - og efterfølgende falder den tilbage til udgangspunktet eller lavere.....
