Reference is made to the stock exchange announcement 6 May 2018 regarding an LOI
with Auplata entered into for the purpose of forming a Joint Venture to acquire
a 37% stake in the Moroccan mining company Compagnie Minière de Toussit SA
('CMT') through acquisition of 100% of the Moroccan investment company Osead
Maroc Mining SA ('OMM'). Further to this agreement Element on 5 June 2018
announced that the parties have agreed with the majority shareholder of OMM, to
buy the shares in a Luxembourg incorporated holding entity, above OMM in the
holding structure, and thereby reducing the amount of equity required for
Element to acquire the shares in CMT by approximately 40%. The Parties therefore
extended the exclusivity period under the LOI by one more month to 20 July 2018.
Element has now completed the due diligence review of the holding structure and
the parties are currently in final stages of negotiations of the final
agreement. The parties have therefore agreed to extend the exclusivity period to
16 August 2018.
