Det var i februar i år at Element inngikk en avtale med DLT om kjøp av alle selskapets aksjer. Øystein Stray Spetalen, Ketil Skorstad, Kristian Lundkvist og flere gikk inn med millioner i oppkjøpet som hjørnestensinvestorer. DLT rapporterte lønnsomhet i fjor.

Ifølge en presentasjon fra Element den gang har selskapet til hensikt å investere i og drive ytterligere bitcoin mining-operasjoner, og vil fortsette å utvikle sin portefølje av investeringer i plattformer, protokoller, handelsplasser og wallets.

Reference is made to the stock exchange notice by DLT ASA (the "Company") dated
27 April 2021 regarding the completion of the subsequent offering in the Company
(the "Subsequent offering").

Thomas Christensen, CEO of the Company and primary insider, has on 27 April 2021
been allocated 99,334 shares in the Company in the Subsequent Offering at a
price of NOK 5.04 ("Subscription Price"). Following the Subsequent Offering,
Christensen will personally and through his wholly owned company, Easy2Connect
AS, have a total holding of 4,459,334 shares, as well as 500,000 warrants and
1,100,000 share options, each share option and warrant giving the right to
acquire one share in the Company.

Thomas Christensen will however transfer 40,000 of the shares received in the
Subsequent Offering to Karen Heidel AS, a company controlled by Karen Heidel,
who is a close associate of Thomas Christensen, in addition to this, he will
transfer 10,000 of the shares received in the Subsequent Offering to Karen
Heidel personally. The transfer price equals the Subscription Price. Thomas
Christensen will further transfer a total of 36,000 of the shares received in
the Subsequent Offering to his two grown children at the Subscription Price.
Following such transfers, Thomas Christensen will have a holding of 13,334
shares from the Subsequent Offering, and personally and through his wholly owned
company, Easy2Connect AS, have a total holding of 4,373,334 shares, as well as
500,000 warrants and 1,100,000 share options.

Karen Heidel AS will following the transfer of shares from Thomas Christensen
have a holding of 40,000 shares in the Company, and Karen Heidel personally will
have a holding of 10,000 shares
